1. Definitions

In this document:

- "Yaloop Inc." refers to the company operating the Yaloop Platform.

- "Yaloop Platform" refers to the online platform provided by Yaloop Inc., including the website, applications, and related services.

- "User" refers to any person or entity using the Yaloop Platform.

- "Client" refers to a user seeking services through the Yaloop Platform.

- "Specialist" refers to a user providing services through the Yaloop Platform.

- "Meetings" refers to the services provided by Specialists to Clients through the Yaloop Platform.

 

2. Eligibility

By using the Yaloop Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms and Conditions. If you are accessing the platform on behalf of an entity, you further represent and warrant that you have the authority to bind that entity to these Terms and Conditions.

 

3. Account Registration

To access certain features of the Yaloop Platform, you must create a User account. You agree to provide accurate and complete information during the registration process and keep your account credentials secure. You are responsible for all activities that occur under your account.

 

4. User Responsibilities

When using the Yaloop Platform, you agree to:

- Comply with all applicable laws, regulations, and these Terms and Conditions.

- Use the platform solely for its intended purpose and not for any illegal or unauthorized activities.

- Respect the rights and privacy of other users.

- Provide accurate and up-to-date information in your profile and any interactions on the platform.

- Use caution and exercise good judgment in all communications and interactions with other users.

 

5. Yaloop Platform Services

The Yaloop Platform enables Clients to connect with Specialists and book Meetings. Yaloop Inc. does not provide the services but acts as a facilitator of the platform. Yaloop Inc. does not guarantee the availability, quality, or outcomes of Meetings, and any arrangements are solely between the Client and Specialist.

 

6. Booking and Payments

Clients can book Meetings with Specialists through the Yaloop Platform. The agreed-upon fees for the Meetings, along with any additional charges, will be communicated to the Client. Yaloop Inc. may facilitate the payment process on behalf of the Specialist and charge a service fee. All payments are subject to the Payment Terms.

 

7. User Content

By using the Yaloop Platform, you may create, upload, or provide content such as profile information, reviews, and messages ("User Content"). You retain ownership of your User Content and grant Yaloop Inc. a non-exclusive, worldwide, royalty-free license to use, copy, modify, distribute, and display your User Content for the purpose of operating the platform and providing the services.

 

8. Prohibited Conduct

When using the Yaloop Platform, you agree not to:

- Violate any applicable laws, regulations, or third-party rights.

- Engage in fraudulent, deceptive, or misleading activities.

- Interfere with or disrupt the platform's functionality or security.

- Use the platform to transmit any viruses, malware, or harmful content.

- Collect or store personal information of other users without their consent.

 

9. Intellectual Property

Yaloop Inc. retains all rights, titles, and interests in the Yaloop Platform, including its design, features, and content. You agree not to use, copy, or distribute any content from the platform without prior written permission from Yaloop Inc.

 

10. Third-Party Websites and Services

The Yaloop Platform may contain links to third-party websites or services. Yaloop Inc. does not endorse, control, or assume responsibility for any content, products, or services provided by third parties. Your interactions with third-party websites or services are solely between you and the third party.

 

11. Privacy Policy

Yaloop Inc. respects your privacy and handles personal information in accordance with its Privacy Policy. By using the Yaloop Platform, you consent to the collection, use, and sharing of your personal information as described in the Privacy Policy.

 

12. Modification of the Terms

Yaloop Inc. may modify or update these Terms and Conditions from time to time. The most current version will be posted on the Yaloop Platform. Your continued use of the platform after the changes will constitute your acceptance of the revised terms.

 

13. Suspension and Termination

Yaloop Inc. may suspend or terminate your access to the Yaloop Platform if you violate these Terms and Conditions or engage in any prohibited conduct. Yaloop Inc. also reserves the right to suspend or terminate the platform at any time.

 

14. Indemnification

You agree to indemnify and hold Yaloop Inc. harmless from any claims, liabilities, damages, losses, or expenses arising out of or related to your use of the Yaloop Platform or any violation of these Terms and Conditions.

 

15. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of the State of California, United States. Any disputes arising from or related to these terms will be subject to the exclusive jurisdiction of the courts located in California.

 

16. Severability

If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
